WorkRecode Terms of Use

These Terms of Use govern your access to and use of WorkRecode.

WorkRecode is a venture of AI Deploy Labs, operated by AI Deploy Ltd, a company incorporated in New Zealand.

By creating an account or using WorkRecode, you agree to these Terms of Use.

If you do not agree to these Terms, do not create an account or use WorkRecode.

1. About WorkRecode

WorkRecode is an AI-powered workforce capability development platform.

It is designed to help users:

• learn AI;
• apply AI to their work;
• identify opportunities to use AI;
• redesign workflows;
• practise AI-enabled ways of working;
• demonstrate AI capability; and
• understand areas for further development.

WorkRecode is not an employment service, recruitment service, professional licensing body or educational institution.

2. Eligibility

You must be at least 18 years old to use WorkRecode.

By creating an account, you represent that:

• you are at least 18;
• you can legally enter into these Terms; and
• the information you provide is accurate to the best of your knowledge.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials.

You must not:

• share your account with another person;
• impersonate another person;
• create an account using another person's identity;
• attempt to gain unauthorised access to another account; or
• use WorkRecode to circumvent security controls.

You are responsible for activity occurring through your account unless caused by circumstances outside your reasonable control.

4. Your information

You retain responsibility for information you submit to WorkRecode.

You represent that you have the necessary rights, authority or permission to provide information you submit.

This is particularly important where your work descriptions contain information about:

• your employer;
• customers;
• colleagues;
• suppliers;
• business processes;
• confidential information; or
• other individuals.

You should not submit information that you are prohibited from sharing.

5. AI-generated content

WorkRecode uses AI.

AI-generated content may include:

• explanations;
• questions;
• suggestions;
• analyses;
• workflow proposals;
• learning content;
• assessment feedback; and
• capability-related information.

AI-generated content may be inaccurate, incomplete or unsuitable for your particular circumstances.

You are responsible for reviewing AI-generated content before relying on it.

WorkRecode does not represent that every AI-generated suggestion is correct or appropriate for implementation.

6. WorkRecode capability assessments

WorkRecode may assess capability using information and evidence you provide.

Capability results are intended to support learning and development.

They are not:

• professional certifications;
• academic qualifications;
• employment guarantees;
• guarantees of career advancement;
• guarantees of business results; or
• guarantees that you possess a particular professional competency.

WorkRecode does not represent that a capability result will be accepted by any employer, educational institution, regulator or other organisation.

7. Workflow recommendations

WorkRecode may identify opportunities to redesign or automate aspects of your work.

These are recommendations and proposals.

You remain responsible for determining whether a proposed workflow is:

• appropriate;
• lawful;
• safe;
• commercially suitable;
• technically feasible;
• compliant with your organisation's policies; and
• appropriate to implement.

You should obtain appropriate professional, technical, legal, security or organisational advice where necessary.

8. No guarantee of outcomes

WorkRecode does not guarantee:

• increased productivity;
• financial savings;
• revenue increases;
• automation outcomes;
• employment outcomes;
• career advancement;
• successful AI implementation; or
• any particular business or professional result.

Any examples, scenarios or projections presented by WorkRecode are illustrative unless expressly identified as verified results.

9. AI does not replace professional judgement

WorkRecode is an AI-enabled learning and workflow-development tool.

It is not a substitute for:

• professional judgement;
• legal advice;
• financial advice;
• medical advice;
• employment advice;
• cybersecurity advice;
• organisational policy; or
• other specialist advice.

You remain responsible for decisions you make based on information produced through WorkRecode.

10. Acceptable use

You must not use WorkRecode to:

• break the law;
• infringe another person's rights;
• gain unauthorised access to systems or data;
• upload malicious software;
• interfere with the operation of the service;
• circumvent security controls;
• attempt to extract credentials, secrets or authentication tokens;
• abuse or overload the service;
• impersonate another person;
• submit information you are not authorised to disclose;
• use the service for unlawful surveillance;
• generate content intended to facilitate unlawful activity; or
• otherwise misuse the service.

11. Intellectual property

WorkRecode, including its software, interface, branding, design, documentation, underlying systems and original content, is owned by or licensed to AI Deploy Ltd or its relevant licensors.

Except where expressly permitted, you must not:

• copy;
• reproduce;
• modify;
• distribute;
• reverse engineer;
• sell;
• sublicense; or
• commercially exploit

any part of WorkRecode.

12. Your content

You retain your rights in information and content that you submit to WorkRecode.

You grant AI Deploy Ltd the permissions reasonably necessary to host, store, process, transmit and otherwise use that content to provide and operate WorkRecode.

This includes processing your information through AI and other service providers used to operate the platform.

You also grant us the limited rights reasonably necessary to maintain security, troubleshoot the service, comply with legal obligations and operate the platform.

We do not acquire ownership of your underlying work merely because you submit it to WorkRecode.

13. Feedback

If you provide suggestions, ideas or feedback about WorkRecode, you agree that AI Deploy Ltd may use that feedback to improve the service without owing you compensation, provided that we do not use your confidential information for unrelated purposes.

14. Privacy

Our collection and handling of personal information is described in the WorkRecode Privacy Statement.

The Privacy Statement forms part of the overall framework governing your use of WorkRecode.

15. Third-party services

WorkRecode may depend on third-party infrastructure, technology, AI services, authentication providers, payment providers and other services.

Third-party services may have their own terms and privacy policies.

We are not responsible for services that are operated independently by third parties.

16. Availability

We will make reasonable efforts to keep WorkRecode available.

However, WorkRecode may occasionally be unavailable because of:

• maintenance;
• upgrades;
• technical failures;
• third-party service interruptions;
• security incidents;
• network problems;
• circumstances beyond our reasonable control; or
• other operational requirements.

We do not guarantee uninterrupted or error-free availability.

17. Security

We implement reasonable security measures appropriate to the service.

However, no online service can guarantee absolute security.

You are responsible for maintaining the security of your account credentials and for notifying us if you believe your account has been compromised.

18. Suspension and termination

We may suspend or terminate access to WorkRecode where reasonably necessary, including where:

• these Terms are breached;
• the account is being used unlawfully;
• the service is being abused;
• security is threatened;
• fraudulent activity is suspected;
• continued access creates a material risk to WorkRecode or another person; or
• we discontinue the relevant service.

Where reasonably practicable, we will provide appropriate notice.

19. Account closure

You may stop using WorkRecode at any time.

WorkRecode does not currently provide a self-service account deletion function.

Requests concerning account closure or deletion of personal information can be made through:

Any deletion or retention of information will be handled in accordance with the Privacy Statement and applicable law.

20. Disclaimers

To the maximum extent permitted by applicable law, WorkRecode is provided on an "as available" basis.

We do not guarantee that:

• AI-generated information will always be accurate;
• the service will always be available;
• every recommendation will be appropriate;
• every workflow proposal will be technically or commercially feasible; or
• use of WorkRecode will produce a particular result.

Nothing in these Terms excludes a guarantee, right or remedy that cannot lawfully be excluded.

21. Limitation of liability

To the maximum extent permitted by applicable law, AI Deploy Ltd will not be liable for indirect, incidental, special or consequential loss arising from your use of WorkRecode.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Nothing in these Terms limits rights or remedies that cannot lawfully be excluded or limited.

22. Indemnity

To the extent permitted by applicable law, you are responsible for losses arising from your material breach of these Terms or your unlawful use of WorkRecode.

This provision does not apply to the extent that the loss was caused by our own negligence, wilful misconduct or breach of applicable law.

23. Changes to WorkRecode

We may change, improve, suspend or discontinue parts of WorkRecode from time to time.

We may introduce new features or modify existing functionality.

Where a material change substantially affects these Terms, we will provide appropriate notice where required.

24. Changes to these Terms

We may update these Terms from time to time.

The effective date at the beginning of these Terms indicates when the current version came into effect.

Where required by applicable law, we will provide appropriate notice of material changes.

Continued use of WorkRecode after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

25. Governing law

These Terms are governed by the laws of New Zealand, except to the extent that mandatory laws applicable to you require otherwise.

Nothing in these Terms is intended to remove or restrict mandatory consumer or other legal protections that apply to you in your jurisdiction.

If you have a concern about WorkRecode, please contact us first so that we can attempt to resolve it.
